Permission, Waiver, Release and Indemnity Agreement

In consideration of being permitted to use the Services provided by Zen Vitalis LLC, the Client (or the parent/guardian on behalf of the minor Client) agrees to the following:

1. Assumption of Risk. I understand and expressly agree that my use of Zen Vitalis LLC’s facilities and Services involves inherent risks, including but not limited to the risk of injury, illness, disability, or death, whether caused by my own actions, the actions of others, or the nature of the activities involved. These risks may include, but are not limited to, those associated with physical activity, hydrotherapy, sauna use, red light therapy, ozone therapy, float pod use, PEMF therapy, compression therapy, BrainTap device use, Kineon device use, Yoga Nidra therapies, and participation in any group event programs. I voluntarily assume all such risks on behalf of myself (or my minor child) and accept full responsibility for any resulting injury, loss, or damage.
   
2. Release of Liability. To the fullest extent permitted by law, I hereby release, waive, and discharge Zen Vitalis LLC, its affiliated entities, owners, officers, directors, employees, contractors, agents, and volunteers (collectively, the “Released Parties”) from any and all claims, demands, injuries, damages, liabilities, losses, or causes of action (“Claims”), including but not limited to those arising from negligence or premises liability, resulting from my (or my minor child’s) use of the Services.
   
3. Indemnification. I agree to defend, indemnify, and hold harmless the Released Parties from and against any and all Claims, including reasonable attorneys’ fees, arising from:
   
   (a) My (or my minor child’s) use of the Services;
   
   (b) My (or my minor child’s) failure to comply with safety guidelines;
   
   (c) Any damage or injury caused by me (or my minor child) to Zen Vitalis LLC’s facilities, equipment, or third parties; and
   
   (d) Any Claims brought against Zen Vitalis LLC by third parties due to my (or my minor child’s) actions while using the Services.
   
4. No Warranties or Medical Supervision. I acknowledge that Zen Vitalis LLC does not manufacture the equipment or products used in its facilities and is not liable for any defects. I further acknowledge that Zen Vitalis LLC does not provide medical advice, supervision, or emergency medical care and that it is my responsibility to determine whether I (or my minor child) am fit to participate. I understand that I should consult a physician before using the Services, particularly if I (or my minor child) have any medical conditions, including but not limited to cardiovascular issues, respiratory conditions, diabetes, epilepsy, high or low blood pressure, pregnancy, recent surgeries, or other health concerns. I further acknowledge and agreement the services provided by Zen Vitalis LLC are offered “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Zen Vitalis LLC makes no guarantee of any specific results or outcomes from the use of its services. Furthermore, Zen Vitalis LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility thereof. The total liability of Zen Vitalis LLC for any claim shall not exceed the fees paid by the client in the three (3) months preceding the claim.
   
5. Voluntary Participation and Responsibility. I confirm that I (or my minor child) am voluntarily choosing to use the Services and acknowledge that Zen Vitalis LLC is not responsible for monitoring my health or physical condition before, during, or after participation. I agree to use the Services responsibly and to discontinue participation if I experience any discomfort, dizziness, nausea, or other concerning symptoms.
   
6. Emergency Medical Treatment. I authorize Zen Vitalis LLC to seek emergency medical treatment for myself (or my minor child) if deemed necessary, understanding that Zen Vitalis LLC has no obligation to provide or arrange for such care. I acknowledge that I am solely responsible for any medical expenses incurred as a result of my (or my minor child’s) participation.
   
7. Compliance with Facility Rules. I agree to use Zen Vitalis LLC’s facilities, equipment, and premises responsibly and in accordance with all safety rules and regulations. I understand that Zen Vitalis LLC reserves the right to refuse service or remove any client engaging in reckless, disruptive, unsafe, or inappropriate behavior. I further acknowledge that I am financially responsible for any damage caused by myself (or my minor child) to the facility or equipment. If signing as a parent or guardian, I further acknowledge that I am responsible for my minor child’s safe participation in the Services. I agree to supervise my child as necessary and to ensure compliance with all safety rules and guidelines set forth by Zen Vitalis LLC.

8. Media Release. I grant Zen Vitalis LLC permission to use photos or videos taken during my (or my minor child’s) participation for marketing and promotional purposes, without disclosing my full name or personal details. I also acknowledge that my contact information may be used for service-related communications.
   
9. Severability. I agree that this Agreement is intended to be as broad and inclusive as permitted by law. If any provision is deemed invalid, the remaining provisions shall continue in full force and effect.
